Indie Rewards Business-User Terms and Conditions

1. Introduction

Welcome to Indie Rewards, LLC ("Indie Rewards", "we", "us", or "our"). We provide a loyalty program platform that allows businesses to offer digital stamp cards and rewards to their customers. By accessing or using our services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not accept these Terms, you must not use our services.

2. Definitions

- "Service" refers to the Indie Rewards platform, including our website, business dashboard, and related services.
- "Business User", "you", or "your" refers to the business entity accessing or using the Service.
- "End User" refers to customers participating in loyalty programs through the Service.

3. Account Registration and Security

3.1 To use Indie Rewards, you must register a business account by providing valid business information and creating login credentials.
3.2 Your account security is protected by Supabase Auth. For more details on security practices, please refer to Supabase's security documentation.
3.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Service Description

4.1 Indie Rewards provides a platform for businesses to create and manage digital loyalty programs, including stamp cards and rewards.
4.2 The Service includes features for customer engagement, reward management, and program analytics.

5. Fees and Payment

5.1 The first 25 cards are provided free of charge.
5.2 After issuing your first 25 free cards, each additional card will cost $0.35. Each card contains 10 stamps.
5.3 You agree to pay all fees in accordance with the pricing established on our website or as otherwise agreed in writing.

6. Business User Responsibilities

6.1 Setting Up Loyalty Programs
- You are responsible for creating and managing your loyalty program through our platform.
- You agree to provide clear and accurate information about your program to End Users.
6.2 Managing Rewards
- You are responsible for setting reward values, expiration periods, and redemption rules.
- You agree to honor all valid rewards presented by End Users.
6.3 Customer Data Handling
- You agree to use End User data provided through Indie Rewards only for the purposes of managing your loyalty program.
- You must comply with all applicable data protection laws in your jurisdiction.

7. Indie Rewards' Responsibilities

7.1 We agree to provide the Service as described on our website and in any separate agreement with you.
7.2 We will make reasonable efforts to ensure the availability and security of the Service.
7.3 We will provide support for technical issues related to the use of our platform.

8. Data Ownership and Usage

8.1 You retain ownership of your business data and content uploaded to the Service.
8.2 You grant us a license to use, store, and process this data for the purposes of providing and improving the Service.
8.3 We own all data related to the operation and usage of the Service.

9. Intellectual Property

9.1 All Service content, features, and functionality are owned by Indie Rewards or its licensors and are protected by copyright and other intellectual property laws.
9.2 You may not use our trademarks or other brand elements without our prior written permission.

10. Representations and Warranties

10.1 You represent and warrant that:
- You have the legal authority to enter into these Terms on behalf of your business.
- Your use of the Service will comply with all applicable laws and regulations.
- The information you provide is accurate and complete.

11. Limitation of Liability

11.1 Indie Rewards, LLC is not liable for indirect, incidental, or consequential damages resulting from the use of our service.
11.2 Our total liability for any claims under these Terms shall not exceed the amount you paid us in the past 12 months.

12. Indemnification

You agree to indemnify and hold harmless Indie Rewards and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Confidentiality

13.1 Each party agrees to keep confidential any proprietary information received from the other party.
13.2 This obligation does not apply to information that is publicly available or required to be disclosed by law.

14. Term and Termination

14.1 These Terms will remain in effect until terminated by either party.
14.2 We reserve the right to terminate or suspend accounts engaged in unauthorized activities or violation of these Terms.

15. Dispute Resolution

15.1 These Terms are governed by the laws of the State of Kentucky, USA.
15.2 Any dispute arising from or relating to the subject matter of these Terms shall be finally settled in Newport, Ky, by confidential binding arbitration in accordance with the rules of the American Arbitration Association.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of any material changes by posting the new Terms on the Service. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
